01About these Terms

These Terms of Service are an agreement between you and Who Will Win LLC ("Who Will Win," "we," "us," or "our"). They cover this website and, together with each product's own terms, every product we offer: AI Prediction, AI Trader, the Metaverse, and the W Coins credit system that runs across them (together, the "Services").

By using this website or any Service, you agree to these Terms. If you do not agree, do not use them.

How these Terms and a product's own terms fit together. A product may ask you to accept its own terms when you create an account there. Those product terms govern your use of that product and add detail these Terms do not carry. If a product's terms and these Terms disagree about that product, the product's terms control for it. The AI Trader Terms of Service are published today. The terms for AI Prediction and the Metaverse will be published, and you will be asked to accept them, before you can use those products.

02Who may use the Services

You must be at least 18 years old, or older if the law where you live sets a higher age for this kind of content, and legally able to enter into a binding contract. You must not use the Services where doing so is unlawful, and you are responsible for complying with the laws that apply to you, including any that govern the markets you choose to trade.

One account per person, held by you, for your own use. Do not share it, sell it, let anyone else operate it, or create another to get around a suspension, a limit, or a free allowance. Keep your sign-in method and any second factor confidential; you are responsible for what happens under your account until you tell us it has been compromised.

03This website

This website describes our company and products. It needs no account. The product screens, figures, and film on it are illustrations of how the products work, including any score, prediction, profit figure, count, or trade shown in a demonstration. They are not results, not a record of any account, and not a promise of what a product will do for you.

A product marked Alpha is offered to a limited, invited group and may change, be interrupted, or be withdrawn. A product marked Coming soon is not yet available; nothing on this website is a commitment to release it on any date or with any feature.

04AI Prediction

AI Prediction researches sports matchups and gives you its view of who will win, how confident it is, and why, beside verified scores and, for reference, market prices.

• Predictions are information, not advice. They are not financial, investment, betting, legal, or tax advice, and they are not a recommendation to buy, sell, hold, or wager anything. A prediction can be wrong, and a past result says nothing certain about the next one.
• AI-generated content. Predictions, confidence levels, and summaries are produced by automated systems, including AI agents and machine-learning models. They may be incomplete, out of date, or mistaken. Check anything that matters to you.
• Not a gambling service. AI Prediction does not accept wagers and does not pay out on outcomes. If gambling is causing you harm, please seek help from a support service where you live.
• What you pay for. A prediction costs W Coins (see below). You pay for the analysis, not the outcome: a prediction that fails to generate is refunded; one that generates and turns out wrong is not.

05AI Trader

AI Trader is software that places orders on your own account at a trading platform you choose, using a preset strategy we built or one you create, inside limits you set.

• Your account, your money. Your funds stay in your own trading platform account, in your name. We never hold, receive, or move your money. We store an encrypted API key that lets the software place orders for you, and you can revoke it at any time.
• Your authorization. You grant permission for the software to trade, and you choose whether each trade is approved by you or placed automatically. Every order placed under your settings is your order, and you are responsible for it.
• Trading involves risk of loss. Markets move in both directions. You can lose some or all of the money you trade. Automation, market conditions, platform outages, delays, and errors can all affect an order. A strategy that worked in a test or in the past may not work in the future. Simulated or paper results are not real results.
• No advice, no promise. AI Trader is a software tool. It is not financial advice, we are not your broker, adviser, or fiduciary, and nothing about it is a promise of profit or of any result.
• Third-party platforms. Your relationship with a trading platform is governed by that platform's own terms. We do not control it and are not responsible for its acts, fees, rules, or availability.

The AI Trader Terms of Service set out these points in full, together with API keys and security, tiers and fees, and the alpha programme. You accept them when you create an AI Trader account.

06The Metaverse

The Metaverse is a 3D trading hub, coming soon, where members meet to talk about predictions, finance, and trading.

• Conduct. The community rules below apply to everything you say and do there, by text or by voice.
• What other members say is not advice. Views shared by members are their own. They are not ours, and they are not financial advice.
• Virtual items. Points, items, and rewards inside the Metaverse have no cash value unless we say otherwise in its terms, are not transferable, and cannot be redeemed for money.

Its full terms will be published before it opens.

07W Coins, memberships, and payment

W Coins are the credit system used across our products. You buy a membership plan that includes a monthly allowance, or a pack of coins up front, and spend them on features. The cost of an action is shown before you confirm it.

• Allowance and packs. A plan's W Coin allowance refills each billing month and does not roll over. W Coins bought in a pack do not expire and are spent after the allowance.
• No cash value. W Coins are a licence to use features. They are not money, a currency, a security, or a deposit; they have no cash value, are not transferable, and cannot be redeemed or exchanged for money.
• Renewals and cancellation. Paid plans renew automatically at the then-current price until cancelled. You can cancel at any time, and the plan runs to the end of the period already paid for. Except where the law requires it or these Terms say otherwise, payments are not refundable.
• Payment. Payments are handled by our payment processor. Your card details go to the processor, not to us. Prices may change; we will tell you before a change affects a renewal of yours.

08Community conduct and your content

Our products share chat, leaderboards, channels, and, soon, the Metaverse. In all of them you agree not to harass, threaten, or abuse anyone; post unlawful, hateful, sexually explicit, or deceptive content; impersonate anyone; spam or advertise without permission; manipulate a leaderboard or a market; or share another person's private information.

You keep ownership of what you post. You give us a licence to host, display, and distribute it within the Services for as long as it is there, and you promise you have the right to post it. We may remove content and limit or close accounts that break these Terms.

09Prohibited uses

You may not: use the Services unlawfully; probe, overload, or disrupt them; access them by scraping, bots, or automated means we have not provided; reverse-engineer them except where the law allows; resell or sublicense them; use them to build a competing product; or use them to manipulate any market or to evade a trading platform's rules.

10Third-party platforms and trademarks

Our products work with or refer to services we do not own, including Polymarket, Polymarket US, Kalshi, DraftKings, FanDuel, ESPN, Crypto.com, and Novig. Those names and logos are trademarks of their respective owners. Who Will Win is independent of all of them and is not affiliated with, sponsored by, or endorsed by them, or by any league, team, or player named in our products. Showing a platform's name means our features work with or refer to it, not that a partnership exists.

11Our intellectual property

The Services, including their software, models, design, text, graphics, film, and the Who Will Win name and marks, belong to Who Will Win LLC and its licensors. We give you a personal, revocable, non-transferable licence to use them as these Terms allow. No other rights are granted.

12Availability and changes

We may change, suspend, or discontinue any part of the Services, and we may suspend or close an account that breaks these Terms or puts others or us at risk. We do not promise that any Service will be uninterrupted or error-free.

13Disclaimers

To the fullest extent the law allows, the Services are provided "as is" and "as available," without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that any prediction will be correct, that any strategy will be profitable, or that any order will be placed, filled, or priced as you expect.

14Limitation of liability

To the fullest extent the law allows, Who Will Win LLC and its owners, officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, trading losses, lost data, or loss of goodwill, arising from your use of the Services. Our total liability for all claims about the Services is limited to the greater of the amount you paid us in the twelve months before the claim arose and one hundred US dollars. Some places do not allow these limits, so parts of this section may not apply to you.

You agree to indemnify us against claims and costs arising from your breach of these Terms, your content, or your unlawful use of the Services.

15Disputes, arbitration, and governing law

Talk to us first. Before starting a formal proceeding, send a written description of the dispute to support@who-will-win.com and give us 30 days to resolve it with you.

Binding arbitration and class-action waiver. Each product's terms contain an agreement to resolve disputes by binding individual arbitration under the rules of the American Arbitration Association, a waiver of class and representative actions, exceptions for small-claims court and injunctive relief, and a right to opt out within 30 days of first accepting them. For a dispute about a product, that product's clause applies. For a dispute about this website alone, the same terms apply: disputes are resolved by binding individual arbitration, not in court and not as a class action, and you may opt out by writing to us within 30 days of first using the website.

Governing law. These Terms are governed by the Federal Arbitration Act, applicable United States federal law, and the law of the state named in the governing-law clause of the product the dispute concerns.

16Changes to these Terms

We may update these Terms. When we do, we will change the date at the top, and where a change is material we will tell you on this website, in the product, or by email before it takes effect. Using the Services after a change takes effect means you accept it.
